Description
As a 6 unit elective, Commercial Finance aims to provide an introduction to some principal areas of commercial law of general relevance to legal practice and of particular relevance to those interested in finance.
Recommended Prior Knowledge
Pre-requisite: LAWS3018 Commercial Law
Note: Students who have not completed Commercial Law can enrol but will need to do substantial preparation before the course commences.
Main Topics
- Sales finance by way of retention of title clauses (building on material covered in Commercial Law LAWS3018;
- Commercial bills and letters of credit (although not to the extent that a LAWS3133 The Law of Banking elective does);
- The law on securities over personal property including priorities, including the new Personal Property Securities Act regime;
- An introduction to the law of company charges;
- An introduction to commercial finance in e-commerce; security over intangibles and electronic title v electronic registration regimes.
This course may be studied on its own but students wishing to complete an introductory study of banking law should take LAWS3133 The Law of Banking as well.
