What are the legal and tax implications of the different financing alternatives available to corporations? Are all the different methods of profit distribution from a company equally tax effective? What are the different strategies available to a takeover bidder and when should they be used? How should a corporate reorganisation be structured? This subject will examine corporate law and tax issues involved in these and similar questions, relating to the interaction between legal and tax questions in corporate governance, through a series of case studies and simulations.
