Description

This course builds upon foundational study in corporate law to examine in greater depth the principles and practices that shape the sound governance of business corporations. Topics examined include: the desirable role, structure and composition of the board of directors with a view to enhancing corporate performance; the board's relationship to management; the role and responsibility of shareholders including institutional investors; the recognition and management of risk; ensuring the integrity of financial reporting systems; executive remuneration; and
corporate social responsibility: responding to social claims and stakeholder expectations.
